Profit Driver Agreement

This agreement (“Agreement”) is entered into as of the date written below (the “Effective Date”) by and between you (“Client”) and Sunday Capital LLC ("Company").

The purpose is to protect the Client’s commercial interests. Client will be providing information about the Client’s business, for the sole purpose of enabling Company to gather and process that body of data and information to conduct a Profit Driver Analysis, and to render the Client a Profit Driver Report, identifying opportunities for improving the performance of Client’s business.

Confidential Information is any information and data of a confidential or proprietary nature, including but not limited to, financial information, know-how, business process, clients, partner and supplier names, strategy and marketing, which may be disclosed pursuant to this Agreement.

The Client agrees to provide information which is to the best of their knowledge true and accurate, on the understanding that this information will form the calculational and referential basis of the Profit Driver Report. 

Company agrees to exercise all care in protecting the confidentiality of the Client’s data and intellectual property, to utilize the input solely for the express purposes of making certain measurements, judgements, and recommendations about the Client’s business to the Client, and thereafter to destroy on request or store securely, all Inputs to the analysis.

The parties have executed this document as of the date written below. The Undersigned represent and warrant that each has the authority to bind his/her company. 

This Agreement has no expiration date; Company will maintain Client confidentiality in perpetuity.
